Corruption complaint procedure

A contract company has two partners. One is authorized to sign in contract agreement. He wants to give corruption complaint in an officer in VAC. Should the company pass resolution and give him permission?

One of them is authorised to sign contract "only".
In order to take any other action in the name of firm it is compulsory to pass resolution to that effect.
No proper facts have been provided by Mr./Ms Anonymous author for forming an opinion and oblige.
