Sample letter for consent and authorisation

Hi all,

Background : A certain company had entered into a Agreement of Sale for purchase of agricultural land upon conversion and had also obtained Power of Attorney (with consideration) in this regard. Now the company had sold the lands to an agriculturist, so that he can get the lands converted and sell the same to the company. In this regard, We are writing a letter from the land owner (having purchased the land from the company itself) to the company offering the lands for sale (Right to First Offer )upon obtaining conversion of the land for non-agricultural purposes and subsequently, giving a right to use the land pending conversion for its Project.

Can you please give me a draft letter for the aforesaid contents.
