I think this high stake commercial transaction and you would be advised to approach a lawyer of the Company and to take his formal views on this based on the documents - which for obvious reasons you would not be in a position to reveal here.
More over, a Public Limited Company would not be wanting in its financial strength to engage a lawyer.

Company Secretary of the company was supposed to and should have advised you on the matter of such a high transaction as he is also a legal professional by nature of his job.

dear sir,
this is not an attempt to exploit commercially, but to be aware of prevalent law regards the matter, to avoid being humiliated by professionals whom we approach for redressal.
forum debates and suggestions are meant to enlighten the ignorant.if you feel contrary, all i can say is thanks for providing your view.
at times you do need to think from the client or the person on the opposite side of the table's point of view too as what is a routine matter for you is a herculean task for him.
please accept my apologies.
i am not getting clarity on subject matter from hired professionals and wanted to enlighten myself.
