patrnership problem

2 people are good friends and enter into partnership firm for running a business. Differences arise and they decide to dissolve the firm.with the help of an unregistered document 'karar' they come to a conclusion that one party will continue the business as sole proprietor and other will take over the property purchased by the firm during the course of business. now this man went to court for this property.... what alternatives does the defendant has in this case to win?????

Are per your statement.. You are just two persons only.. Even both of you decided what you going to do. Then how can you approach the court.. For what? Objection from whose side?

Dear Mr. Harshda,
You say the partnership was dissolved and the other partner i.e. your friend has to take the properties purchased by the partnership firm during the course of its business. Did the firm transfer the properties in the name of your friend or not. If not, why not. If already transferred, then what is the suit about and what is the property that your friend is demanding now?
From your facts, these are not clear. Therefore, please clarify. More over, please tell whether you have engaged a lawyer to deal with your case or not.

the plaintiff is askng for the said properties and in alternative he prayed for dissolution of partnership and for directing him to render true accounts of income of the sued property. the district court dismissed his suit. he now wnt to the upper court. what are the options available with respondent?????
