Urgent !!!!!!!!

(Querist) 21 March 2013 This query is : Resolved 
long back in 1985 firm was converted into company.partners and promoters were common .
at the time of takeover from firm to company no formal conveyance deed was executed (doc was not registered ).non of the partners are alive.company is silently enjoying the possession of property and paying all taxes of govt
please suggest me how to convey bank that the companys title is not defective?
secondly how to remove the defect of non registration if non of the partner is alive and some of legal heirs of partners are also not willing to sign.

Dear Priti,

The matter is not so simple to be solved by casual query and replies over here. It would be a time taking job, as would need detailed examination of the case with reference to the documents and case history to solve your problem. You may better at first try to contact some local expert on company laws and property laws, etc., before contacting someone outside you place and take all the necessary formalities to riddle out of the problem. The matter does not fall within the purveiw of the Registrar of Companies.

UNLESS YOU GET A TRANSFER DEED EXECUTED BY ALL HEIRS OF THE PARTNERS COMPANY CAN NEVER CLAIM OWNERSHIP AS NO TITLE HAS PASSED TO
IT WHILE IT IS LEGALLY ARTIFICIAL JURISTIC PERSONALITY DISTINCT FROM IT'S SHARE HOLDERS,HAVING CAPACITY TO HOLD PROPERTIES IN IT'S OWN NAME.
