My father and my uncle have a firm in partnership with equal profit and loss sharing mentioned in the partnership deed.My fathers' health is very down since last 2 years and he is not able to work.The firm is undergoing heavy losses and there is a huge debt on the firm. One of the debt is a loan of 25L taken from bank.
Now the bank has given notice to auction the property of the firm if loan is not paid(only 20 days left). The value of the property is quite high. So my uncle is continously persuading me to pay half loan amount i.e 12.5L (half he will pay) I have agreed to pay the loan if he stops further manufacturing in the firm and dissolves the firm(since its making heavy losses) and gives us half the property of the firm. ( I have an option of resigning my father from partnership, but in that case he will not get half property of the firm)
My uncle has agreed to sign an affidavit which says that after 1 month we will dissolve this firm in which we will divide equally the property of firm between us and will equally share remaining debts and settle all taxe issues.
Please guide me :
1) What kind of agreement and in what form (affidavit,MOU,MOA,something else) shall i make with my uncle so that he is bound to dissolve the firm after 30 days? ( I will register that in registrar office before paying the amount) I am afraid that as decided, uncle will not stop manufacturing and dissolve business as i know he is very much interested in continuing the firm, may be he is making profits i am not aware of)
2) How should i mention the property division clause in that so that at time of dissolution, property of firm is divided equally.
3) Uncle has showed an unsecured loan in balance sheet in his name around 10 years back which now acquiring interest has grown into 15L. Uncle says he will not claim that amount from me. What kind of clause shall i add that he does not claims that amount later.
Please,I need urgent advice. I dont want to get trapped.
We filed the 340 crpc in civil matter before the District Court which was dismissed by the Distrct & Session Judge by common order.We asailed the one part of order by writ petition and other part of the 340 crpc by filing criminal Appeal under 341 CrPC petition. Eventually, our Writ Petition dismissed by the Divisional Bench and consequetveely our lawyer withdrew the Criminal Appeal under 341 crpc filed before the single Judge High Court. Now, we have challenged the order in Writ Petition passed by the Divisional Bench , High Court by the way of SLP ( Civil) which is admitted and issued notices to the Respondents
As far as Criminal Appeal, which our lawyer have withdrew from the Single Judge, High Court, How this can be assailed before the Supreme Court? The Order passed by the Single Judge In Criminaal Appeal is “After some argumenst, the Ld Counsel wants to withdrew the Criminal Appeal. Hence The Criminal Appeal is disposed off”

1.Husband and wife is staying in Borivali previously on rental basis. Husband has a house at virar where his old mother is there. Now husband has intent to care for old mother he want to stay in virar. Is this a cruelty on the part of Husband , that not taken a flat on rental in borivali and taken in virar, for mothers care.
2.Wife is forcing him to take a flat in borivali else she will take divorce? what is remedy to husband in this situation? Ownership Flat has more area (380 SQFT) than required (100 SQFT) for business.
3.Wife has a owned flat at Borivali where she is doing business. Also she is telling that Business is not doing well. Can husband tell in this situation to take 2 flat in wife's name only by selling Borivali flat in Virar and do Business in Virar is this a ok in eyes of law?

Sir because I have to prove about desertion that she willfully neglected her husband and 4 years completed till now,me (Petitioner) only asked for counselling and mediation but she refuse to live with me where as she never asked to continue marriage.
But In her written statement she made allegation said Petitoner mother restraining me to enter in matrimonial house.Then I said Judge about this and he sent for Counselling where she asked give answer Yes Or NO Do u want to go or not she said No.
