In respect of a private limited company what is circular resolution? How it is issues? Please enlighten with all the details?

Who can call the meeting of Board of Directors of a Private Limited Company?
How notice of meeting of Board of Directors issued? Can a notice for meeting of board of directors be send through email? Is notice send through an Email valid according to Company law, IT Act and is it accepted by Court of Law?

Sorry for asking the same but there is some other confusion.
sir, i am doing labour job , nothing is purcahsed by me , my cliennts supply me materail and i do the labour job , is it manadatory for me to apply vat no., if yes then what is the limit .
and is yes then how i will submit my sales tax return becoz there is no purchase and sale of materail , but a labour. but i apply for vat no now what shoul i fill in my sales tax returns.
pls clear my point i will be thank full to

I do trade in F&O from my own web based terminal provided by the broker. The broker, defied/ flaunted all standard (legal) /common (best) broking practices and carried my F&O positions inspite of margin/ ledger shortfall which is best (only) visible to him on his online/realtime risk management system.
Their delay in timely execution of trade (note - carried subsequently on their server/by their people and not by me on my terminal) has lead to losses in my ledger. Please note that with my best skills I could have not time it at my terminal because market was wildly volatile (seller circuit) and I can not compute the margin and M2M shortfall on the real time bases while the broker is equipped with RISK MANAGEMENT SYSTEM.
Now Arbitrator has awarded against me taking stand that I could also have closed my F&O position on my own and wants me to pay for the losses occurred in my A/C because of broker negligence and not abiding the agreement itself.
I am just left with 20 days to go to High court. PLEASE Suggest.

Sir,
My grand mother had two properties one house and another land.
She executed one will on 12-11-1993 in respect of house to my favour and another will in respect of land to the favour of my mother on 27-06-1994.I request whther the two will is valid.

my wife along with hwer mother is harrasing me .in yr 2005 she had logde a complete in police station under ipc 498 which later in the court she say it was mistake and taken the complete back.
now again along with her month is is harrseing me and logbe a complete in women cell she has taken all the jewerrly and cash and harrsing thro police whart should i do.she has also taken two kids with her and she is sataying with someboby

I reside in 120-A(ground floor),Platinum Apptt. Sector-18,Rohini,Delhi.The owner of 120-D(top floor)has done illegal permanent construction on the roof of our building.The roof is common to all the floors of our building.
Pl. guide me the procedures to demolish the illegal constructions.

Dear friends,
i am guddoo Yadav,from mumbai. i have many doubts and queries and expects that every one will help me.
i am a college student persuing fybsc through correspondance and working full time due to some financial problem
The reason for help and suggestion is that i have filled a complaint against Reliance Communication in Consumer forum Thane for " Not replacement of Handset within Warranty period" from Reliance gallery by demanding cover box of mobile.
The reliance gallery has given a written statement of not replacement of the mobile without cover box of mobile, while other reliance gallery says that they do the replacement wihtout cover box of mobile.
and they also provided me a written statement of their statements.
when i contact to the customer care of reliance they are not providing me any help . so finally i reach to the consumer forum.
Now this reliance gallery says that they are a telecom operator and the customer is in no way customer of the Opposite party for hand set.
I want to know if the they are not responsible for the replacement of mobile then who's responsible.
i have some question and want to know some rules;
1) Section 7-B of the Indian Telegraph act, 1885. of Supereme court of india.
I hope for guidance about this matter.
pls. help me and
The Case is filled in 2008 and it is more than 1 yrs. but the matter is not solved and the Judges are not deciding even not helping to me.
