Dear Client,

For changing the name of a newly formed company if you propose to change its name you must first seek prior approval of Ministry of Corporate Affairs. After that you must Convene Extraordinary General Meeting and pass a Special Resolution to change the name which should also be reflected in memorandum AND articles OF association. You CARRY APPROVAL OF MCA AND minutes OF extraordinary general MEETING SHOWING PASSING OF A SPECIAL RESOLUTION FOR CHANGE OF NAME to Registrar of Companies. If the Registrar of Companies is satisfied that you've complied with all procedural formalities for change of name and for name change you are acting within bounds of law relating to name change he would issue a new certificate of incorporation. This name change whether prior to or after after new certificate of incorporation is issued does not end the status of company as a separate legal entity and it continues to retain all its attributes, separate property, perpetual succession, sue and be sued etc. If you appreciate this answer please click the Thank you button on my profile.
