Alteration of memorandum

there is X Pvt ltd. in which subscribers and directors are same & the profession of director stated in memorandum is an advocate,now the director wants to change his profession from advocate to businessmen. I just want to know the procedure for above change as per companies act with reference to sec. for clarity in understanding.

After Incorporation of Company, there is no provision to change such information.

You can now only take steps to drop that director but can not amend his profession.

Alteration in memorandum is not possible,however one can change the profession in DIN,which can be visible on ROC record.

In your case an advocate who wants to change the designation,he has to surrender his Bar membership first.

Even After resignation of director, there is no provision to remove his name from MOA.
It remain until company wind-up.
