Stamp duty is differ from state to state. you have to tell, in which state your partnership firm will registered. If you are from up, i shall answer you.

For terms and condition, you should hire local lawyer, he will draft you accordingly to your need.

It is not a matter that you can handle by receiving advises from us is at least clear from the very style of your question.

You both might have labored for your terms such as the share in profit& losses ,the contribution of capital, the mode of dissolution, the enter se rights and duties and several such issues connected with your business.Go to a lawyer in your city discuss all these factors ,take his advise and get prepare the deed by him,if capital contribution is avoided to be mentioned in the deed which is legally possible, very nominal stamp duty would be payable. After draft of deed and constitution of firm you should get the firm registered with registrar of firms of your area.If you expect a high turnover then for audit requirement services of a Chartered Accountant may also be required ;hence for all this choose a good tax consultant,be he a lawyer or a CA so that he can address all your business needs.
