305 procedure when corporation or registered society is accused

(Querist) 23 March 2013 This query is : Resolved 
i am complinant .accused is chief editor of newspaper u/s 499 ,500 of IPC. Accused filled petition u/s 305 in lower court to to appoint Representative for purpose of inqry and trail . Lower court Magistrate allowed it .

MY QUESTION IS
1- Lower court will examine actual accused or representative u/s 251 of cr.pc ?
2- if there is conviction who has to face it accused or Representative?
