can advocate be a director

can advocate become a director in private limited company ? if yes then what kind of work he can do

He cannot take part in direct working of the company rather he can be only like a consultant.

He can very well be a director of a private limited company / public limited company. But he should not be an M.D., or a whole-time director drawing salary. He can only be in the Board and do any work as a director and also give professional advice and take fees / expenses for that.

Rule 48 of Part VI, Chapter II, Section VII of the Bar Council of India Rules:

"48. An advocate may be Director or Chairman of the Board of Directors of a company with or without any ordinarily sitting fee, provided none of his duties are of an executive character. An advocate shall not be a Managing Director or a Secretary of any company."

Mr Rao has put the correct postition. Any advocate can become director can accept fees or payment for any work done except he can be whole time Director in service of the particular company.
