Resolution not made in favour of power of attorney holder.

Subsequent resolution can be passed ratifying the power of attornye provided in emergency situations without passing any formal resolution.

Otherwise such power of attorney, if given on behalf of artificial person like company, partnership firm etc. shall be a futile exercise.
