Sir,
I had takeover the private limited company by following companies act,1956 and also articles of association of the company. And during the takeover process I had entered on MOU with the party and major part of the MOU was "to pay all outstanding dues of bank on the company during takeover process".
Party has transferred all their shares on my name but the bank is still remaining and and bank is not aware with the MOU. In the starting one of the share holder of the company had wrote to bank that the company is being take over by me and in this process I will pay all dues and meanwhile they will transfer all the shares on my name.
Now, I have big concerned that is bank is not aware with the MOU and party has lodged a suit in Company Law Board, Delhi to revoke the share transfer that was done on the base of MOU.
As bank is still remain/pending and shares has been transferred , and hence the liability which I had to pay is not paid my me and only focus made by me on share transfer , then in this case will the share transfer get null and void?
Please reply,

His school records/passport and other documents are with different date of birth. But,he has only Birth certificate i.e. with different DOB in passport. A executes an irrevocable power of attorney in favor of B authorizing him to sell his house for Rs.5 lakh rupees.POA is stamped @ Rs.500/- Sub Registrar insisted A to affix Stamps as required for Sale Deed.A paid the same. But when Sale deed was subsequently presented SR against insisted to furnish the same Stamps as required for Sale Deed. The POA submitted that he has already paid the same duty at the time of registration of POA & he cannot be taxed again.SR kept the matter for argument.
Could you plz cite any law/judgment to assist A in order that he is not taxed twice and the Stamps duty already paid by him in POA is set off or adjusted in Sale Deed registration ?
With great expectations and high hopes as also with Warm Regards!

Dear Sir,
As directed, I am providing my identity, if asked will provide more if required..
After waiting too long regarding awaited result.Student put petition in high court.
HC issue an order for university regarding declaration of all result within one month if no legal impediment , accordance with law expeditiously, from the date of receive of the certified copy of this order.
No please suggest, following
1. Should student attach a cover letter with order ?
2. If Yes, then should letter have a letter no ?
3. By which authority student must send order to the university i.e. petitioner / applicant / appellant / student letter to university ?
4. Thanks / regards must be after the matter or not ?
5. I doubt, High court a most powerful after supreme court, Do a citizen like me a student have need to put a cover letter for high court ? HC is all in all.
I am attaching the format of letter I thought. Kindly suggest what correction must be in this letter..
Thanks & Regards.

Change of a trustee: compliances
Hello,
In a Charitable Trust, a trustee wants to resign and a new trustee has to be appointed in his place. Currently there are 3 trustees and obviously after the change the number will remain at 3. Out of the 3, one of the trustees is managing trustees but he is not the one who is resigning. as per the Trust Deed, minimum no. of trustees shall be 3 and maximum 9.
Now my question is how should the change take place. Is a new Trust Deed required to be made? Is Charity Commissioner with whom the Trust is already registered required to be notified? If yes, in what form/format?
