Delegation of authority

Dear Ld. Members:

Normally, the Board of Directors hold a Resolution in order to delegate power to one of its directors to do specific acts.

If the Board of Directors wish to delegate this authority to one of its employees, then what procedure is to be followed (other than adopting resolution)?

Resolution is must, without the resolution power cannot be delegated.
