if an indian company and a company incorporated in hong kong are entering into an agreement, then the governing laws should be of india or hong kong.?

and what about the jurisdiction also?

It will depend on the mutual consent of the parties.
To incorporate jurisdiction of chosen court it requires the skill and relative terms of the parties.
So take professional for drafting such agreement.
