Validity of Personal Indemnity & Undetaking

Dear Friends,

My client has advanced money to a Pvt. Ltd. construction company as loan but shown as advance towards booking of the premises to be constructed by the said company.

The said company has two persons A and B as its shareholders and Directors.

My client knows A and hence on his word are making the said investment. However, B does not want to give any commitment on behalf of the company to my client about the completion of the construction and handing over of the premises to my client.

Can A in his personal capacity indemnify my client against any probable loss and execute an undertaking to reimburse the loan amount out of his own personal assets?

Will execution of the Indemnity and Undertaking be tenable in law?

If not then what documents need to be executed to secure the amount advanced by my client?

I shall be grateful if you could enlighten me on this queries.

Best regards,

Sachin

Obtaining injunction order against bank recovery procedure

Sir,

I have been staying in leased house since March 2006. After occupying the house, i came to know that my owner has taken a loan against the property. Past 2 years my owner is absconding and has defaulted in paying EMI to the bank. Lease period is also completed and am ready to vacate the place, provided the lease amount is returned as per the agreement.

Mean while bank folks are trying to take possession of the property by approaching Bank Debt Recovery Tribunal.

What are my chances in obtaining a injunction order from being evicted ?

If injunction can be obtained, what will be charges involved ?

What will be max period, this injunction will be effective ?

Thanks in Advance.

Can a society split a share certificate, if court orders.

Sirs / Madam,
There is a suit in City Civil Court, Mumbai between mother and son over title of property. The mother and son have signed an MOU for distribution of property on 50:50 basis and are awaiting the receipt of NOC from the 2 daughters.
My question here is :
1) can the society or any of its members take an objection for issue of 2 share certificates in lieu of one :
• if the MOU and NOC are filed in the Court and order received for partition of property OR
• if both the parties reach out of court settlement?
2) is it necessary for the society to get it passed in the General Body Meeting of members because the society had passed a resolution in previous years AGM that it will not split the share certificate of any member?
Kindly guide me on both the above points and oblige.
Rgds,
Anand.

infringement of copyright

dear sir,
iam from the defence , a case is pending against my client in the trial court , as he has been accused of infringement of copyright in a literary work.. a chargesheet was filed before the trial court and there he was charged with section 68 of the copyright act.

my question is sir , is section 68 is sustainable or in other words is it applicable for the alleged offence. and moreover in the chargesheet the author of the book is not the complainant it is the police who has filed a complaint... as per the provisions of the copyright act the owner of the copyright is entitled to maintain a criminal action .
