Payment of Bonus to Outsourced employees (sales)


Dear Experts

This refers to payment of bonus to outsourced employees (sales personnel, office boys, administrative personnel) outsourced through Third Party.

Major points of Agreement with Third party:

1. Salary including PF/ESI paid to third party for payment to outsourced employees.

2. Outsourced employees on the payroll of Third Party Company

3. Principal to Principal relationship between Company and Third party

4. agreement is termed as service agreement and third party charges service tax to Company.

Queries:

1. Do the Company legally required to to pay Bonus to such outsourced employees (on the payroll of Third Party)?

2. Will the Company fall under the perview of Principal Employer vis a vis payment of bonus act?

MWPA and Islamic Law of Inheritance

Hi

Does Married Women's Property Act, 1874 supersede the Islamic Law of Inheritance. Basically, in case a Muslim man has taken an Insurance policy and registered it under MWPA, then post his death, is the maturity proceed treated as part of his estate and hence, distributed as per the Islamic Law of inheritance or is it treated as an exclusive property of the wife (sole benficiary of the trust created under MWPA) and hence, is not part of the Husband's assets/properties and need not be distributed as per the Islamic Law.

merger of section 25 companies

what are the proceedures for Section of 25 companies for merger with similar companies;

is there is difference of the transferree company which is not a section 25 companies,

is there is difference of the transferee company which is not incorporated by virtue of special act.

Section 13

Section 13 & 20 Transfer Of Property ACt, 1882.

Pls explain me the below mentioned para in detail with the easy examples pls experts explain me and if any notes available then pls post it .

Section 13 of the transfer of property act, 1882.

Transfer for benefit of unborn person.- Where, on a transfer of property, an interest therein is created for the benefit of a person not in existence at the date of the transfer, subject to a prior interest created by the same transfer, the interest created for the benefit of such person shall not take effect, unless it extends to the whole of the remaining interest of the transferor in the property.

Section 20 of the transfer of property act, 1882.

When unborn person acquires vested interest on transfer for his benefit.- Where, on a transfer of property, an interest therein is created for the benefit of a person not then living, he acquires upon his birth, unless a contrary intention appears from the terms of the transfer, a vested interest, although he may not be entitled to the enjoyment thereof immediately on his birth.


Query:

1)Meaning of vested interest as per section 20 of the transfer of property act, 1882.

2)Meaning of the extract(subject to a prior interest created by the same transfer, the interest created for the benefit of such person shall not take effect, unless it extends to the whole of the remaining interest of the transferor in the property.)

Any case laws than pls put forward.
