I have to incorporate a subsidiary company in india in which there will be 100% shareholding of a foreign company.I know that the procedure will remain the same as in case of incorporation of an ordinary company but here requires compliance of section 187C(1) & (2) and further the subsidiary company is required to file declaration in Form-22B to ROC.My question is when this declaration shall be made and what kind of informations are required to be given while filing form 1A,Form-1,32 & 18.Is there any requirement regarding approval of RBI in this regard.
I want to clear it that I have already applied name of company and given name of directors as promoters in Subsidairy company and the name is approved by ROC but now because of Section 187C compliance and provisions of Section 49(3)I am getting confused.I will be glad if anyone tell me the step by step procedure for incorporation of this company.

Dear All Experts,
I am bringing my matter in front of your experts pannel so that i can get the right advises from you all to take my future action in right direction.
We are three brother and sister(two brother and one sister). My mother has expried in year 2009 and in January 2010 my father has also expried. My brothers were living with my father with their family in the same flat which was purchased by my father. Now after my father's death i have given an indemnity bond to their co.op hos. society to transfer the flat on my brother's name which they have done accordingly. Now my both the brother is willing to sell the flat. When i have asked for my share they are telling me that i have alredy given in written to society that to tranfer the flat on there name so now there is no right or claim of me on that property.
I have given that bond to the society for their convinence to raise the maintanance bill and and anything regarding that flat, on my brothers name as they were staying there but i have never mentioned that i am relinquishing my claim or my right from that property.
I have disscussed the same matter with the secretary and the chairman of the society and asked for their by laws but now they are telling me that as i have permitted them to tranfer the flat on my brother's name so now i am no more the member of the society so they cant provide me the by laws copy.
Now please advise me just by giving in writting to co. op.ho. society to tranfer the flat on their name, my right or claim from that propery has gone????
Some one has told me that co.op hos. society has all the righs to tranfer the flats.
Please advise on the same.

Respected Experts,
Here is a complicated issue, which I am placing for ur valuable suggestion. Plz. Suggest me suitably.
A filed a suit in the year 2003 against B for declaration to declare him as an adopted son of late C. To prove his case, “A” filed his School records stating that C is his father. Now the age of A is 58 years.
On the other hand, B is denying the plea of A and contending that he was the original adopted son of late “C” and filed (1) Registered Adoption deed duly signed and executed by “C” in the year 1985 (2) Gazette Notification in the year 1985 (3) And mutation proceedings in the year 1989 and the Revenue Records stands in his name.
As per the contention of B, though “A” was with “C” for some time at his early age, there was no registration of an adoption deed etc., as like as “B” and further contended that he was absconded for more than 10 to 15 years prior to death of wife of C. C’s wife died in the year 1984 and C died in the year 1997. After the death of C’s wife, C was with B till his death. Due to love and affection on “B”, both C and his wife have taken him as adopted son and performed all the formalities as per the Hindu caste custom. Now the case is pending before the court. In this Now
1. I want to know at this juncture, whose plea is to be accepted by the court.
2. What is the procedure generally the courts followed, in case of adoptions.
