its a pvt .ltd. co., there was three director in 1982 out of which one partner retires in 2006 and two family members join as a director so now is it possible to reprint the memorandum? plz rply soon

My company established in November 2009 & we registered in Marashtra Labour Welfare fund in the Month of March 2010 Paid december Dues in March 2010 We receved letter from Bombay Welfare fund they wanted to produce following Details
Registration Licence Bombay shops & establishment act 2)
Certificate of incorporation 3) Muster Roll & Wages 4 ) Every June & December Payment Challn 5) Register of Unpaid Accumulation & fines
6) Record of Fine & Bones 03 -04 5 ) Record of Payment of Bonus & Fine
6) Balance Sheet along with schedule Trial Balance & General Ledger
We have just completed nine months we are not close 2009-10 Accounts & Trial Balance & balance Sheet & Also We are not maintan any muster Roll
Can please how to draft letter reply to marashtra Labour fune on the above matter & also give format of Drafting Letter & suggetion on above will be greatfull

under section 293(1)(a) of Company Law the Company has passed the resolution and gave the powers to board of directors to mortgage the property of company and to charge over the assets of company. the sectioan says about the Sale , Lease and other means of Disposal; but not Mortgage exactly. whether the mortgage will be interpreted in respect of the other means of Disposal in this case?

I HAD ISSUED A NOTICE u\s 138 IPC AND THEN SUMMONS TO A PARTY IN KERALA ,THE COURT HAD GIVEN ME A DATE OF 4th AUG 2010 i.e AFTER 8 MONTHS ,BUT WHEN I WENT TO THE COURT THE COURT SAID THAT THE SUMMONS REPORT HAS NOT YET BEEN RECEIVED BY THE COURT SO GAVE ME ANOTHER DATE ON 16.11.2010 SAYING THAT THE REPORT MAY BE ON TRANSIT.WHAT TO DO IF STILL THE REPORT WILL NOT BE RECEIVED BY THE SAID DATE ,WILL ISSUING NEW SUMMONS TAKE ANOTHER 8 MONTHS ,ALSO THE PARTY WHICH HAD ISSUED THE CHEQUE HAS SOLD THE SHOP AND HAS SHIFTED TO ANOTHER ADDRESS ,SO PLEASE GUIDE ME AS WHAT TO DO :
1.IF THE SUMMONS REPORT IS NOY RECEIVED BY 16.11.2010.
2.WHAT TO DO IF COURT GIVES ANOTHER DATE.
3.IF THE PARTY HAS CLOSED THE SHOP
4.PARTY SHIFTED TO ANOTHER ADDRESS .

Dear Sirs,
The company is engaged interalia in road construction,buildings in an outside india(Overseas projects)
The questions is as follows:
1. Is thare any tax holiday/exemptions/sp rates for the infrastucture export companies.
2.Is there any custom duty exemption available for the import of used machinery and under what provisions.
3.Is there any special packages for the workers returning from the overseas projects-exemptions from the customs duty -limits for the personal items,easy money transfer system.

In response to some querries I had replied that even though there is outstanding and attachment or sale notice is issued by any financial body under Surfasi act or any other court order, decree still you can escape the coercive action by creating private trust in favor of relatives, friends , employees or even charity. But it should be back dated.
People send me emails with incomplete infromation and pressing for urgent reply as if I am responsible for their problems.
Please note that there is always ways to come out of rigours of the legal problems but you have to be sincre to seek advice and must provide all the details.
Reasoned actual qurries in this regard are welcome.
