iam in huge debts secured and unsecured with personal guarantees, loans are with banks .Nbfc and private money lenders, since last one year Iam borrowing more and more just to pay interest to all loans, now all my sources are dried up even my house that iam leaving is mortaged.I have loans on one pvt ltd company in which iam the director and one propritor company.I do not want my family to be disturbed my any actions. please suggest the nremedies

Hi. Where 2 out of 3 partners of an unregistered partnership firm, take away capital, vendors and clients of the firm and start a separate partnership doing the same business as that of the earlier unregistered partnership firm; what legal remedy may be invoked against such partners and the employees who helped such partners.
Does Section 69 of Partnership Act completely bars any civil action for breach?
Can a criminal action for criminal breach of trust be appropriate in the case?
Any other remedy that may be sought?

I want a MOU format between a steel plant owner and iron ore mine owner for supply/purchase of raw material on long term basis. These MOU's are generaly required to be submitted to the Government of Orissa to avail operational rights of mine. The MOU should justify that the mine owner has concret source of selling the raw material produced from the mine.

Asansol Club Ltd is registered under companies act and as per the articles of Association it cannot have more than 500 members. The Comapny is engagaed in profit making activities. But has not issued shares to the memebrs.
1 The company now proposes to raise the memebrship from 500 to 700 which will result in a direct increase in share capital to the tune of 7 crores @ donation of Rs 3.5 lac per memeber. They have no plans for utilising this fund. Is it possible by merely calling a AGM and passing a resolution by voice vote even if more than 10% members press for secret ballot.
2.Can a person elected as a president and Hony secretary sign ROC papers as director.
3 Every member should be treated as a bonafide share holder. Can a company terminate a member and sell his share to another memebr and retain the profit of 3.5 lacs without paying any tax.
4 Can a company take donations.
5 Can a company Registered under the Indian Companies act Restrain a bonafide memebr from contesting a election only on the ground that he has won several times in the past.
What is the proper forum for registering these complaints. And how can an ordinary member restrain the commitee from taking these steps.

I have doubt that a company filed a suit (A ltd) against to another company (b ltd) ,that B ltd use same brand Name For Eg “mudra” , the same in the court, while B ltd Filed Another Suit in their place that ,,the same brad name was used By Altd….what will be the result of this case ? can B ltd File the suit against A ltd after Filed By A ltd ..

Iam a bussiness man, taken loans from bank,nbfc and private money lenders from last two years I have incurred huge losses hence paid interest to all by taking further loans now all my resources are over Iam not in a position to service the interest and capital repayment is impossible, the house iam living is also mortageged.All loans have my personal guarantees as director in one company and as a proprietor of one company.
Please suggest me a solution in which atleast my family is not effected.
