sir i invest in a delhi based company 4000 rs and he give me per month 245 rs for 24 month and after 24 month he back me 3500 rs back for security reason he gave court agreemnt stamp paper and cheque of diffrent bank so pls tell me the validity of bond paper of cheque

one partnership firm acquired immovable property in its name.later on it had merged with another partnership firm and carried out its business by transferring its assets and liabilities through mou executed between the two firms. subsequently two firms have decided to demerge and executed another mou declaring all the assets and liabilities shall remain same when they have entered in to mou for merging. later first firm had altered its name in to another under act,1932. later on the said firm had converted in to a private ltd. company under part-IX of the companies act,1956. my query is that whether the immovable property acquired by the first firm is transferred to the present pvt ltd company and if it is transferred, whether the company is entitled to deal with it. no registered document is present saying that the assets and liabilities of the firm transferred to pvt. ltd. company, except the merge and demerge mous between the firms.

A listed co. has made prov in the AOA tht the reserves could be capitalised in the Board meeting & members approval is not required.
the Co. wants 2 make a bonus issue & as per SEBI ICDR Reg, reg 95 it states tht the issuer should implement the bonus issue within 15 days of declaration in case members approval is nt required.
as per listing agreement clause 24a the co. has 2 apply to the stock exchange for prior in principal approval.
It is practically not possible 2 issue bonus shares within 15 days of the Board Meeting as it would take time for the approval from the exchange & 2 fix the Reord date.
in light of the above can you help me interpret clause 95 of SEBI ICDR and can help me with any solution in this matter.

I had booked an implantable medical device from Jamshedpur to Patna through First Flight Couriers.The value of the consignment was declared by the agency on the receipt is 10000/-.However the cost of pacemaker as consignment was 26000/.There was no signature of the consignor on the receipt.The consignment got lost on the way and could not be recovered.I claimed from the courier company rs 50000/ as compensation of loss because had i got the consignment on time i could have sold it at rs 50000/ and earned some profit.Is it viable to bring the case to consumer forum as the courier company is willing to pay only 10000/ and not 50000/-.Since the value declared by courier company is arbitrarily and they did not ask for any acknowledgement can I move to Consumer Forum.

I am a resident of Mumbai
I wish to start a new business ,that is a coffee shop which would serve Food and beverages.
The theme of my coffee shop would be fun and learning since it would be located near a college and would contain facilities such as a in-house library with around 2000 book to browse(read in premises only) and would also consist a few games like :chess, Taboo and other board games for entertainment. I was also planning to have a Xbox gaming console which would create a game arcade atmosphere. There will be simple music to sooth the mind. Right now i am starting at once place and plan to franchise from the third month and also have couple of more branches
With these activities what are all the licences and permissions i would need . right from scratch upto my vision.... following would be a few guidelines I am looking for......
