Membership of pf trust

One of the manufacturing unit of a company(A) has been transferred to another company(B) in the same group through slump sale agreement.
The company A was the member of a recognised PF Trust.
Now all the PF related transaction with the PF Trust is being carried out through Company B only.
But company B is not a particiapating member with the Trust.
My Queries are:-
1)Now, what steps are required to be taken to make company B a member of the Trust.
2)How, the transaction between company B & the Trust can be regularised ?

Appointment of director

Sir In a public company there are 3 directors including these directors there are seven share holders. But 2 directors are not interested to appoint any other directors even though share holders are interested to appoint other directors. What should be the procedure to follow to appoint other directors? The 2 directors held 29% of the paid up share capital.
