(Querist) 21 February 2010 This query is : Resolved
I have submitted my resignation letter to my C.A but have not signed any share transfer forms or Form E etc.
1)Will my resignation process complete, the resignation letter being the only document in the entire process?

The resignation is sufficient, however the company in turn has to file Form 32, else you are still shown on the board as a director.

If form 32 is purposefully delayed and for some other ulterior motives the same is done but the company having accepted the resignation like a partnership concern in a closely held company a retiring director has to make an advertisement. If that is done you are not personally responsible for the conduct of the company.

Your question is not clear. However it is not necessary that the director resigning should sign share transfer form transferring his holdings to any other. It is absolutely under his discretion to do that. You may be a shareholder of the Company even after resigning as director. However so long the Form 32 is not filed you will be the director of the Company.
