Legal notice served to a company / vendor

Dear Sirs,

I want to know what are the implications of a legal notice served to a Company / Vendor for dispute over a Project.

What are the ways to counter such Legal notices, do we leave it unanswered or do we send a counter notice.

1. IF the "legal notice" served by the opposite party, has some legally enforceable substance, THEN it would be prudent to duly answer it by countering /rebutting the same.

2. In lieu of negative of above point, the opposite party would put you on defensive if the dispute escalates to court level.
