(Querist) 25 September 2013 This query is : Resolved 
BOD meeting of a company adjourned due to lack of quorum on 5/4/1994.thenafter on 12/4/1994 a person on his consent, who was workmanager of that company, co-opted as additional director(Under regulation 75,schedule-I TABLE-A OF THE COMPANIES ACT,1956) and also allootted shares to him on 19/4/1994

is there any violation of provisions of company act,1956 ? if yes then how?
