Increase in share capital

Dear Sir,

Whether share capital of a private limited company be increased, when a notice for conducting of an EGM issued by one of the shareholders for removal of few directors, is pending?

Mere notice doen't bar working of the company. Unless director/directors are not removed, the y are legally empowered to continue as such and do as per rules.
