Unsecured Redeemable debentures

Hi!

Can any one brief me the procedure of issuing the Unsecured Redeemable debentures by Private Placement?
Whether they construe as public deposits under Companies Acceptance of deposits, Rules 1975.

But ours is a public ltd. listed company and wants to issue Unsecured Redeemable debentures through Private Placement
