In a private Limited Company having authorised capital of Rs. 1,00,000 there is only two Directors who are Shareholder of 50-50% shares of the Company. Some time ago one of director is died and diseased Director was husband of second director. And both director has only a minor son. Article is Silent related to this. Than what should this company do for run company.
if an entity is being blacklisted, is it possible that a shareholder without getting any show cause notice individually be barred/ blacklisted automatically?
Dear Sir,
I have a flat at Nerul which I intend to sale to my existing tenant. He is living there from last 3 years. Not he needs a NOC from the society however the society is refusing to give and forcing us not to sale the flat to him. The reason they mentioned that his wife had a fight with the neighbors but when that incident took place no one informed me. Now that we are selling this flat every committee member has started calling us and complaining. Further they say that they have another interested buyer who can give you 2 lakhs more etc.
Now what do I do? This tenant has applied for a home loan from the bank . The bank won't disburse the money without the NOC , right?
Is there any remedy?

This is to inform you that I had resigned from my company Fss and served and completed 3months notice period, but still fourth month is going on manager is forcing me to work with the company inspite of informing about my family problem they are not relieving me from the company and mentally harassing me.

I Joined A Company In September And I Never Received Any Offer/Appointment Letter From My Employer. There Was No Documentation At All.
I Was Unable To Continue My Job So I Just Called My Team Leader And Told Him The Same. I Couldn't Serve My Notice Period And Again There Was No Paperwork. They Marked Me Absconded.
I Walked Up To My Manager After Leaving The Company To Discuss My Salary Which My Employer Is Supposed To Pay And Their Excuses Are Mentioned Below-
1. You Didnt Serve Your Notice Period So You Might Have To Pay One Month Salary To Company.
2. You Won't Get Incentives.
Why Would I Pay One Month Salary To My Employer As They Never Gave Me Any Offer/Appointment Letter And I Never Agreed To Their Terms And Conditions?
Why Would They Not Give Me My Incentives since Documentation Never Took Place?

Pvt Ltd Co in tobacco manufacturing sector with turnover more than Rs 200 cr. p.a.
My Query :
In Pvt Ltd or Company form - for saving the Directors from any liability under litigation, we can have safeguard of "Officer in default" concept where by passing board resolution / nomination done, Directors can avoid conviction. In LLP since concept of Designated Partner (DP) is there how can the Directors escape conviction, who will get there status changed to DP (in LLP converted from Pvt Ltd) & avoid conviction in any such litigation cases.
For such Industry is it worthwhile to continue in present Company form OR We should go ahead and convert into LLP.
Your expert opinion in detail (with pros & cons) will help many manufacturing co who are looking for such conversion decision aprat from Taxation advantages enjoyed by LLP.
Dual employment
If X company employes Certain no of employees for some job responsibilities on civil construction project and Z company also employs same group of employees for same job responsibilities on same civil construction project and Z COMPANY IS SUBCONTRACTOR OF X COPANY
Is this arrangement is legal?
And if Z company back tracks about their responsibilities for payment to vendors ,can the X company be made liable for action of Z by any Indian law.
