Please let me know how far any director of private limited company is liable for cheque bouncing.Is he directly liable or not.

I am enjoying cash credit faclity of Rs. 1 lakh for my partnership firm with business turnover of Rs. 20 lakhs involved in retail trade. Recently my bank asked for audited financial statements of my firm stating that now as per RBI circular any customer whose turnover is more than Rs. 10lakh and is avialing any advances from bank needs to get accounts audited.
Where as per Income tax act My firm is not required for audit as turnover is juts Rs. 20 lakhs? Can anyone confirm the has RBI issued circular to thath effect?

Dear Seniors,
(I am from HR Department) My issue is :
1. our's is an MNC. It entered into an agreement with Italy for supply of certain material.
2. Italy supplied sub standard material.
3. We addressed letter informing them about the quality of material.
4. Now Italy is going to sue our company for recovery of money.
My requirement :
A. whether the orders / judgements passed in Italy are enforceable in India.
B. Whether Italy and India are signatories to any Treaty. more particulatry about enforcement of orders / judgents passed in Italy to be enforced in India.
Please give me the details of any such Treaty or applicable source of informaton from where i can get the above details.

partners remuneration
in partnership deed it is meniotned that remuneration to both the partners shall be payable as per section 40 (b) of the IT act, and shall be reduced to Nil if there is a Loss.
Pls. clarify that is it mandatory to amend the Deed for giving hiegher rem. i.e up to Rs. 3.00 lacs to partners

Abc pvt ltd co. having paid up capital of more than 50 lacs. has
entered into an agreement with m/s AB enterprises for marketing of
their software product and to act as support agency. will this
agreement attract section 294?

A PVT.LTD. CO. HAS TWO SHAREHOLDERS A (FATHER) & B (SON)HAVING 100% SHAREHOLDING OF THE COMPANY. THEY ARE ALSO DIRECTORS OF THE COMPANY. THEY DECIDED TO TRANSFER 2% SHAREHOLDING OF COMPANY TO C & D (OUTSIDERS).
NOW CAN C & D DO ANYTHING AGAINST THE INTEREST OF A & B AND COMPANY UNDER THE PROVISIONS OF COMPANIES ACT WITHOUT CONSENT OF A& B. (e.g. CAN THEY TRANSFER PROPERTY OF COMPANY OR DO ANYTHING ELSE WITHOUT CONSENT OF A & B ?)

In Western Countries there is procedure to called Discovery to ask the opposing party for certain documents. Is there a similar process in India? At what stage can it be instituted.
