Creation of an spv

Can I form and SPV for taking up a project where the following conditions exist?

Between Pvt Ltd Co and an Individual (broker)
to take up a specific Real Estate Project. SPV will enter into the contract if the project is won.
The proposed project involves providing Group housing for employees of a Co
Broker knows the builder/ land owner
Pvt Ltd Co knows the Client Co
The project negotiation will be long drawn out process
Both parties want to insure themselves so their interests are protected. Just to be fair to each other.

Would an LLC be a better option??

Company seal

Dear Sir,

Pl. give me following guidance :
Company Seal is made of steel in round shape and when we apply it on a paper, company's name is get embossed on that paper.

My question is :
(1) Can a Partnership Firm make such seal ( instead of regular round rubber stamp )
and apply it (as per Law) on its regular documents like invoices, delivery challan, receipt / payment vouchers, debit/credit notes etc etc. ?
(2) As per Law, can such seal be used by Partnership Firm ?
(3) Or it is only for Pvt. Ltd. / Ltd. Companies that they only can use ?
(4) Is such seal is mandatory requirement of ROC for companies ?

Appeal in supreme court (arbitration)

Dear sir,
I want to appeal in the supreme court,for which I would like to know the following:

1.What is the procedure?
2.What does advocate on record mean?
3.How long does it take to file SLP?
4.At what stage should we decide if a senior counsel is required?
5.What could be the fee of senior counsel,like P.P.Rao or Sori Sohrabjee?

Regarding trust litigation

Hello,

We had formed an educational trust long back. Some of trust members were passed aways years back and we did not updated the same to concerned govt authorities. In such case what are the penelaties from Govt.
If we make a new trust than is it solves the problem?

How to start a new company from home

I am a Lady. i have a small kid I would like to start a Training company at home. Please provide me the details to do the same. i want to know how to register and what would be the charges + what is the capital amount I need to pay. My Husband is a doctor and he wants to start a clinic too. Do we have register seperately or can we both register with the same name and start the clinic and training company.

Call option in nse

A small query on exercise of call options in Stock exchange :

Suppose a buyer of call option for a particular listed company purchase the call with certain premium at certain strike price. Now till the end of expiry period, he does not square off the deal. And if at the end of expiry, the market price of that company is higher than the strike price of buyer.

Will he get the difference between strike price and market price as profit or not .

Or he may not get any thing as he has not squared off the call option/deal.

Credit card harrassments

Standard chartered Bank issued me a credit card well back on 1994, in my official address at Mumbai. I canceled the card on Sep-1995, after settling the account. I changed my job location to Ahmadabad on Apr-1996. I been transferred back to Mumbai again on 1998. I took an overseas appointment on 2003 and since then I am a NRI. I came on a month's leave on Jan-12 this year. Due to my different relocation, I lost the card surrender letter, moreover which is a matter of 16 years old. Even I could not remember the card no etc.

Since closure of the card I have not received any communication from SCB. Surprisingly I received a call on last Monday, from a lawyer, appointed by Shaha Finlease Pvt. Limited,claiming that I have am unsettled due of 4 lacs rupees. He has threatening me to book a case in HC and apply to cancel my visa. I wrote an email to customer care of SCB and Shaha Finlease pvt. limited for the details. SCB replied to contact Shaha Finlesae Pvt. Limited. I am totally confused.

Can you guide me what to do????????

Board reolution vs general power of attorney

DEAR FRIENDS,

THE DIRECTOR/MD OF A COMPANY USUALLY HAS TO SIGN NUMBER OF DOCUMENTS INCLUDING BANK OPERATIONS, DELAING WITH GOVT. DEPARTMENTS ETC. FOR WICH BANKS AND OTHER AGENCIES INSIST FOR A BOARD RESOLUTION.

MY MD ALWAYS QUESTIONS WHY HE HAS TO GIVE A BOARD RESOLUTION FOR EVERYTHING SUCH AS BANKING OPERATIONS ETC. WHY CAN N'T A GPA WORK FOR THAT. THOUGH HE IS CORRECT BUT BANKS AND OTHER GOVT. AGENCIES DO NOT ACCEPT GPA.

THOUGH IT IS A ACADEMIC QUESTION. BUT STILL IF ANYONE CAN THROUGH SOME LIGHT WHETEHR A COMPANY CAN GIVE A GPA TO ITS MD/CHAIRMAN INSTEAD OF A BOARD REOLUTION.
