Affiliation required for teacher training certificate course

Dear Experts,

I am an entrepreneur and am in the process of starting a teacher training program for pre school. It will be a 6 - 8 months certificate program. I need to know if by Indian law, I need to mandatorily get any affiliation or accreditations.

From what I understand according to my research if other players in the industry, you do not require any accreditation for a teacher training program. You can provide your institute certificates.

Please validate this point.

Secondly, to increase the value and recognition of my program, I am looking at memberships of international Montessori society and organizations like ISTD. Also I came across MSTS which provides affiliation for IT courses and vocational courses. Please advise if this will help recognise my certificate.

Kurlon company hai cheated

i am a dealer with kurlon mattress company .
after achieving the annual target , the company has to send me on dubai trip. but know they are saying that because of late payment i am not eligible . but the company employee hai assured me for the trip and did false promises that i can pay the amount later . kindly help me in this regards

Ab initio issue of succession certificate

Dear Sir,

The Succession Certificate was applied in 2013 & received in 2014 by the legal heir.The application was filed in the name of Holder 1 who died in 2010 as deceased person.Thru inadvertance the name of the Holder 2 who died in 2011 a year later was not incorporated.Company "A" have rejected the claim for Transmission & has requested the legal heir to incorporate the Holder 2's name as the Holder 2 died after Holder 1, as they state that the Succession certificate is faulty.However,inview of the time lag in the court & the procedure being a cumbersome one is it a viable solution to approach the court to incorporate the name.20 other companies have transmitted the shares in the legal heir's name without any impedement.

I have argued that, since both being my parents have expired the certificate may be accepted.

Alternatively,can the company "A" waive & condone the incorporation of missed names & process the Transmission of Shares based on relevant section or any judgement of any Court.

Pl advice & guide the course of action for necessary reliefs.

Unable to register digital signature - mca website(www.mca.gov.in)

Dear Friends,

As per new provisions of Companies Act, an Advocate can also digitally sign incorporation documents. But Ministry of Corporate Affairs (MCA) is not yet provided this facility to register Advocate's digital signature as professional. I have lodged a complaint with them to rectify this issue 2 weeks ago, still they have not responded.

Please guide what action can be taken further to get this done.

Do i still need to file inc-21?

I registered a Pvt Ltd company in March and I was planning to file INC-21 this month.

As in May Section 11 and Rule 24 were removed from the Act and Rules, there is no INC-21 present on MCA website.

Since company was registered in March when filing of INC-21 with MCA for commencement of business was mandatory, do I have to submit the same? If yes, then how do I do that?

builder's false act

Hi ....i m residing near Mumbai area....i m living in a society since past 20years.....before this society was not registered as builder was not ready for the legal registration then we filed a case against him then 2 years back society was registered but still convince is not yet done so we went for a dim convince with the help of a federation but it seems that the builder had purchased that federation because the federation had just given up n not ready to help us......the building is old ...n we need for a reconstruction .....we badly need some help.....i m 20yr guy doing my engineering...i just can't bear all this...want to do something for my society...help me...plzz

Convertible debt for an nri director

Hi,
We are a startup and just got incorporated (17th Jul'15). Me and my wife are the directors in the new company with a 1L capital. The company will provide online gaming solutions to enhance skills of individuals (primarily children) through a subscription based revenue model.

In order to start the operations we would need funds and hence will be appointing a 3rd Director (NRI friend) into the company. Once inducted we would look at a Loan from him which will be a convertible debt. An agreement will be executed highlighting the terms and conditions of the loan conversion to equity. The important one's being the following:
1. Interest rate of 9%
2. Tenure of 2 yrs
3. Conversion to happen when 2nd investor is wiling to invest
4. Valuation to be mutually agreed upon between Company & 2nd investor
5. Conversion to Equity @ Discount of 20%

Loan amount to come from his NRE/O account. He is also ok to transfer the balance fund directly to the company's account. The whole amount will come over a period of 3-6 months.

Pls suggest the most appropriate way of executing the whole transaction and the compliances involved.

Conversion of partnership firm to pvt.ltd

Hi Experts,

Mine is a partnership firm. We are 3 partners. We would like to convert our partnership firm to Pvt.Ltd company for the following :

1. The funds i have got from my well wishers, i would like to return them with shares so that liability on my part is reduced and that would give them advantage to transfer their shares to some interested party or sell them back to my pvt.ltd . Which is possible ? is this a good move ? or should i have to first clear thier dues , close down the partnership and then as a fresh start open up pvt ltd company .....

2. i would be able to expect more funds for expansion from other ppl/VCs where currently i have to do temporary adjustments like borrowing from others or mortagaging gold etc.

3. As a director, can i freely put in funds in to the company and take out funds for self as i have been doing while in partnership firm ?


4. suppose i take goad loan or additional bank loan as temporary measure to accumulate funds to put in the company for operations/expansion . Will all the shareholders also be affected with this decision ?

4. what are the documents needed from my side to convert partnership to pvt ltd ?

5. what will be the cost of conversion ? how do i calculate how much it will cost me ?


Please help in clarifying. Your help is very much needed.
