Share Transfers

Mr. A has some shares in a Public Ltd Company.
Mr. A dies. No Will made by him. Death Certificate available.
Mr. B, son of Mr. A wants to get these shares transferred-transmitted in his name.
Wat procedure?

formation of sole propritorship

dear expert,

My friend want to start a business as a sole proprietorship for construction related machinery and construction contracts. i have gone through companies act but not got satisfied details.
My questions are :
1. Whether he will need to register his companies name under ROC.
2. Whether he will need to follow companies acts rules
3. Whether he will need to show enough capital on his companies name

landlord buyback goodwill & business from tenant

After my lease period expire, do my landlord have legal right to vacate me , without buying back (goodwill, furniture’s, movable amenities , hotel license & business) which I bought from my landlord when I entered this hotel business through agreement deed .
I bought (goodwill, furniture’s, movable amenities , hotel license & business) through sale deed by paying some Amount . The landlord offered to SELL & I bought them . ( it’s not transfer).

Is the following lines in the my agreement help me to me for this?
(with the option to the tenant to renew the agreement for further period on such terms & condition as may be mutually agreed upon.)

I did an verbal agreement to sell a piece of land to a person "A" at 5 lacs rupees. and received a token of Rs (ten thousand) 100000/-. He promised to pay earnest money in two days. A plain paper receipt is also given to this effect.Mr "A" failed to give earnest money to me and his token was sent back to him after thee days but he refused to take back token money and threatning to go in court. I have sold my land to another person at much higher price.Now after one month Mr "A" is again threatning me to pay him One lac rupee failing which he wants to take help of court for breach of contract and mental harrasment and that verbal agreement was only to extract money from him where as token money is with the middle man from his side ans he is not willing to take money back and black mailing me to get 1 lac rupee from me. there are four witness for return of money to him and his refusal.
What should I do

I am Ansuman subhankar residing at bhubaneswar, Orissa.I want to start a Mobile Training Institute for students in our locality and am ignorant about the legal procedure required for the same.
So my query is-What are the legal procedure required for starting the training institute i.e where to register,fees for such,which legislation deals with it and etc..

landlord buyback goodwill & business from tenant

I am a tenant running hotel since 2000. For first 5years the business was in the name of landlord. From 2006 the landlord offered to sell the hotel Business goodwill, furniture’s & movable amenities. So I Bought all these from the landlord At market price valued of year 2000,through legal agreement Deed.
Landlord also renew the lease for future 7 years., till 2012.
Will the business goodwill, furniture’s & movable amenities which I bought from the landlord, At market price valued at year 2000, legally fetch me any advantage, if my landlord wants me to vacate after the lease period. Can I legally tell my landlord to buy back my hotel Business goodwill, furniture’s & movable amenities At market price valued at year 2012.Because its connected to this hotel property. If he refuses to buy, do I legally have rights to sell, all hotel Business goodwill, furniture’s & movable amenities to someone else.(outsider)
ARE GOODWILL,BUSINESS WHICH I BOUGHT FROM LANDLORD CONNECTED TO THE THIS HOTEL property.

I want to know what is the difference between TRUST, NGO, SOCIETY & SOCIAL ENTERPRISE??
Please suggest if I am a degin maker may it be strategies or designs ...what entity shall i form out of the abov ementioned entities??/

Regarding Partnership Firm.

1)Can an existing partner start a proprietory concern with the firm name remaining same as in case of partnership ?
2) 1 partner in the firm has 10% share and 90% amongst remaining 3 partners.Can 3 partners resign from the firm if 1 partner denies to sign anywhere.Is there any alternate solutioin to this.
