Contract Enforceability

Hello,

I joined a company and they made me sign a contract which state that I have to give them a four month notice before leaving. But in one day i figured that the company was a fraud company as many employees of the company whom i met on day 1 gave very bad feedback. there was huge misrepresentation from compnay side. .So i met the officials on day 2 of my employment and quit. Now they have send me a legal notice asking for a payment of 4 lacks which is the salary for 4 months. the agreement is just on white paper and not stamp paper etc. I didnt take any payment etc from the company. Should i pay up ? Is the contract enforceable against me ?

Are employee bonds enforceable? what provisions deal with the same??

is there any remedy available if the employee does not show up after signing the offer letter?

RESOLUTION NO. IN E-FORM

While filling up e-forms, resolution no. is to be put in the end. What should that no. be - Item no. or Resolution no. Item no. and resolution no. could be different as some may only be discussions and not resolutions. Pls. advise. Thanks!

In service want to start sole propritorship bisiness.

Dear Sir,
Presently I am in service with electricity distribution company, maharashtra from last 11 years.I want to enter into realestate buisiness with farmouse project.Please guide me --
1) In service can I start sole propritorship business OR should I go for partnership business.
2) If,NOT...can I start same on sone one else from relative's name?
3) If,YES...what conditions should I state in doing agreement & what kind of agreement should I made with that relative.
4) When a profit margin increases, in legal terms? who should I deal with that relative on whose name business is started.
5) I want in any case start business. What best solution you can give me pl.I have son with age 7 years, wife is also in govt.service...please guide.

A non-functional company having four directors wishes to close-down the company under the newly introduced 'easy-exit scheme' of ROC. Is it necessary to obtain the approval of all the directors?

Buy back of shares by promoters as against buy back by a co

I would like to know whether a buy back of shares by the promoters of a company is legally enforceable. To be precise for instance if the promoters of a company enetr into a contract with another shareholder( Investor) agreeing to buy back the shares at a certain point of time with a certain rate is it valid?

Similarly can the promoters of a company assure a particluar rate of dividend to its shareholders? Will not such a contract run contrary to the provisions of the company law and will it not be a derogation of the shareholders rights

Validity of Personal Indemnity & Undetaking

Dear Friends,

My client has advanced money to a Pvt. Ltd. construction company as loan but shown as advance towards booking of the premises to be constructed by the said company.

The said company has two persons A and B as its shareholders and Directors.

My client knows A and hence on his word are making the said investment. However, B does not want to give any commitment on behalf of the company to my client about the completion of the construction and handing over of the premises to my client.

Can A in his personal capacity indemnify my client against any probable loss and execute an undertaking to reimburse the loan amount out of his own personal assets?

Will execution of the Indemnity and Undertaking be tenable in law?

If not then what documents need to be executed to secure the amount advanced by my client?

I shall be grateful if you could enlighten me on this queries.
