Applicability of sec 180 of companies bill, 2013

i would like to know that in a pvt ltd company, both of directors give an un-secured loan to the company which is excess the paid up share capital or free reserve of the company( according to sec 180) of the companies bill, 2013

so, i ask you to whether the company has to file an special resolutions or not?

Foreclosure on cash credit limit

dear sir,
we were enjoying cash credit limit with HDFC Bank Ltd. right from 2009. In march 2012, they added new clause that is "borrower is liable to be charged 2% of the total limits sanctioned in case the facilities are taken over by another bank DURING THE TENOR OF THE LOAN".
we received renewal intimation letter falling due on 17 feb 2014. we submitted all documents required on 13th Feb 2014. on telephonic discussions my relation manager told me that your sales is on negative side so we cant renew your limit on same limit amount. meanwhile we approached to the nationalised Corporation Bank. They offerd us the less rate of interest and enhancement.
on 31st march 2014 my limit was taken over by corporation bank. on that date we were not utilising the limit only the few payments of interest was debited from my credit balance. on 10th April 2014 my relation manager called me and asked for 2% foreclosure chareges.
please clerify the RBI rules

We can Dissolution of private company either by voluntarily or through court by appointing a liquidator,

Please suggest me the fastest way of dissolution and how many days it may take at maximum?

Annual return filling

Private Ltd Co of it's Authorise Capital 20Lacs & Paid Up Capital 1.5 Lacs only, date of incorporation on 12.01.2012 till the date Annual Return Filling had not yet been done. Pls let us know the late fees amount & other formalities as per Company act.

Bills not being paid by client

I HAVE A BUSINESS AND ITS BEEN RUNNING FOR YEARS NOW BUT ONE THING IS ALWAYS A HINDRANCE. CLIENTS DO NOT PAY THEIR BILLS.
WE ARE INVOLVED WITH EVENTS.WE PROVIDE INFRASTRUCTURE FOR AN EVENT TO RUN SMOOTHLY.OUR CLIENTS ARE EVENT MANAGERS. WE HAVE SOME BILLS DUE FOR MONTHS AND EVEN YEARS WHATS WORSE IS THAT THE EVENT MANAGERS DO NOT RESPOND TO EMAILS OR CALLS OR TEXT MSGS. WE HAVE TO PAY SERVICE TAX EVERY QUARTER IRRESPECTIVE OF WHETHER THE CLIENTS PAY US. WE HAVE LABOUR CHARGES TO PAY ETC .HOW CAN WE SUSTAIN A BUSINESS LIKE THIS? WE CANNOT EVEN INVEST IN NEW AVENUES.
SO I WOULD LIKE TO KNOW IF THERE IS ANY LEGAL WAY TO MAKE THEM PAY UP. IS THERE A LAW THAT STATES THAT CLIENTS HAVE A CERTAIN AMOUNT OF TIME TO PAY A BILL ONCE ISSUED? OR ANYTHING.ITS GETTING VERY FRUSTRATING. THANK YOU

Service providers agreement

Dear Sir / Madam,

Our company having it's registered office in Mumbai is the receipient of certain services, whereas the service provider of the said services is a company registered in Delhi.

The place of execution of the service providers agreement, the governing laws and jurisdiction shall be Mumbai or Delhi?

My Husband has taken an insurance and represented his mother as nominee (before marriage) he died i filed a suit stating me and my daughter are legal heirs .my motherinlaw died .Are her legal heirs entitled for the share in insurance .can someone clarify this to me please
