Queries

We are three sons to a father who run a pvt. ltd. firm where me and my father are the directors, with my father having the signing authority and my two brothers are just share holders in the company.
Now, my father has passed and we are not able to manage the accounts as the signing authority belonged to my father.
some of my queries are:

a.) Is it necessary to introduce a new director in the company?

b.) what happens to my fathers shares in the company?

c.) can my other two brothers acquire/inherit directorship in the firm
on the plot that they are the deceased persons kins?

d.) what happens to the signing authority? can i get it tranferred to
my name? what is the procedure?

dear sir ,

i want to open an online website and also become a seller/merchant to popular ebusiness website existing as of now.

i am an individual and do not have any shop or trade license.

i would like to ask what are the legal formalities that should be considered before starting one.

also as i would want to be a retailer do i need trade license/brand name for selling my product like products sold by "XYZ COLLECTIONS ?" as i do not have any shop what will be the address while filing trade license if required

acceptance of non cts cheque by local sbi branch

Sir recently the sbi branch in our town has closed its local clearing house.since then they are not accepting non cts cheque.as per my knowledge they cant decline to accept non cts cheques.please confirm whether any Rbi notification has permitted them to decline

kindly apprise me the time limit for an unlisted public company to appoint its Independent Director pursuant to the requirement as per S.149 of the Companies Act 2013.

Is it 31.03.2015 i.e 1 year from 01.04.2014??

Help me with the legal procedure to start a new entrepreneurship

Dear Sir/ Madam,

I am trying to register a company (<10 employees). Basic work will be email marketing, ad posting on different classified site, data mining, data entry, article writing etc.

My specific requirements:
1) I want to finish off with the formalities quickly.
2) As of now, I want to start it from my residence.
3) I may hire around 2 to 3 people.
4) I need a bank account in the name of my company.

My Questions:
1) Should I go for a proprietorship or a Pvt Ltd.

2) What are the requirement to start a proprietorship or a Pvt Ltd? (I will be starting this in a village location, District-East Midnapur, West Bengal).

3) Can I give few of my office work to home based worker as a contract against some security deposit?

4)Do I have to use Pay slip to pay the salary to my in office or home based worker?

I would be very much thankful to the great soul who may consider replying to my queries.

Is notarizing Power of Attorney compulsory?
Can any two people write the Power of attorney in a piece of paper and signed by themselves, if yes, how valid is the document?

I purchased a toffee packet where i found i wrapper empty i have mailed the customercare department of the company they didnot respond what do u doi have mmentionedin my mail that i would be going to consumer court.

Is addressee of a letter is a consumer ?

Sir/Madam,

Re: Consumer Disputes Rederssal Act.

One letter was sent by Bank to me through courier and the courier delivered letter to me after delay of 20 days. I filed a case before District Consumer Rederssal Forum against the courier. The Ld. Forum dismissed my petition on the ground that I am not a Consumer under the Act.

1) The Consumer Protection Act, 1986 under the head Definitions has defined Consumer as under
(d) "consumer" means any person who-

(ii) [hires or avails of] any services for a consideration which has been paid or promised or partly paid and partly promised, or under any system of deferred payment and includes any beneficiary of such services other than the person who 4[hires or avails of] the services for consideration paid or promised, or partly paid and partly promised, or under any system of deferred payment,

According to above, I, being a beneficiary, I want to file an appeal. Please inform me whether I, am a consumer or not? Please also inform me/send me a copy of the related cases in this respect from National Commission and Supreme Court .
