Hello Experts,
We are planning to make a partnership firm with 20 partners, each will contribute Rs.50,000. Our firm will engage in trading business.
We have some questions: Can any partner(e.g. partner A) from our firm borrow money independently on behalf of firm? If yes, then lets assume that partner A runs away with that money(considering that he borrowed in cash), then is there any way to protect firm or other partners from that liability?
Please advice, thank you.

Sir, I have 1 question regarding trust, I need your valuable advice.
1) Is there any possibility that an "Educational society can be converted into a trust" (transferring all the assets of the society to trust) specially in Karnataka.
2) If yes, then what are the procedure to do so.
Sir, I read in law club India that To convert society in to a trust, a special government order is required in Karnataka. Moreover if the society is running an educational institution it has to comply with the provisions of Karnataka Education Act 1983 along with the other formalities.
3) So Sir, Please let me know which Government approval is needed is it state or central and what are the procedure to apply for the above said Govt approval and other procedure to convert an education society into trust.
Thanks in advance.....

Dear Sir/Mam
There are two parties Company A and another is government authority, entered into contract for providing consultancy services to govt. authority. Company A has completed there part and sent invoice on 28.11.2011 for which payment has to b made within 60 days, as required by the contract but no payment made by the govt. authority and inspite of sending letters for payment no reply was received from the authority side.
As on date is the claim time barred by limitation act, even if the contract is still alive or we can still file a civil suit?
What remedy we can adopt ...
1. is it recovery suit;
2. breach of contract;
3. or can we ask for interest on delayed payment even when no clause is there for interest in the contract or any other?
Please Guide

My company is a private limited company. Since the share capital is Rs. 15,00,000 which is less than Rs. 50 lakhs and the profit for the last year is less than Rs. 2 crore, it fits within the definition of Small Company u/s 2(85) of the Companies Act, 2013. Now, I want to raise the authorized share capital to Rs. 1 crore. As per the Fees Table, a Small Company is liable to pay Rs. 2,000 upto share capital of Rs. 10 lakhs and Rs. 200 per Rs. 10,000 after the first Rs. 10 lakhs and upto Rs. 50 lakhs. However, since the revised authorized share capital would be Rs. 1 crore which exceeds the limit of Rs. 50 lakhs, I am confused if the company would be considered as a small company for this particular transaction or not. Accordingly, the RoC fees would vary. This is because a normal company has a different fees schedule and charged heavily, whereas a small company has exemptions due to which the fees charged is negligible. Hence, I want to know that what will be the RoC fees payable on e-filing of Form SH-7?
