Can anybody tell me the procedure for appointment of an employee as a director? whether he will be WTD? If yes, then form 25C has to be filed after AGM/EGM or Board Meeting?

Dear Megha,
First you have to appoint him as additional director as per section-260. Then pass the next resolution to appoint him as WTD.
Further if you fail to regularise him as regular director then he will automatically cease to be a WTD.
So the agenda of your BM would be:
1. Appointment of Mr. X as Additional director.
2. Appointment of Mr. X as WTD.
the company is private limited company, so just pass the board resolution & file form32 to MCA..

Thank you Mr. Nagaraja BS for your answer.
One thing I would like to ask our's is a listed public company. We have appointed him as an AD but forget to appoint him as WTD in the same meeting. Can we appoint him in next BM as WTD and file form 25C within 90 days of such Board meeting.
Please answer the same.
