transfer of school

ABC is an affliated school with CBSE Delhi which has been run by an educational society of ten members regiserted under "The Registration of Socities Act 1956" in 2005. Now my query is Can these ten members or the society Sell/Transfer the ABC(school) to other with that previous affliation.

Yes. First they have make a resolution of transfer and then they can hand over the school to any other trust, society etc. In legal words, it is not a SALE. It is transfer of assets and liabilities. After that they have to inform the change of Management to the concerned CBSE authorities.

They even change the present by including new members. It will be a step wise procedure. If there are 10 members, in one meeting 4 of them will resign from their membership and 4 members of the persons who intends to take transfer (Purchase) will be co-opted as members. In second meeting another 4 will resign and 4 will be co-opted and in third meeting remaining 2 will resign and 2 will be coopted. Thus new persons will manage the school. In this case, there is no need to inform CBSE.
