The first person is having some type of technology and he is giving the same to the second contracting party to improve it.both are doing it in a free consent.what is the way to transfer the rights of the first party to second party?is any written agreement is necessary?whether the concept of GPA will come here.please advice...

Franchise Agreement is suitable in such case not GPA, as both depends on each others genius.
