Assignment of trade mark

Dear Sirs,

I want to assign one trade mark used by company to another company. Actually i have no idea regarding the entire process to be followed. Kindly advise me what to do. Is a drafting of assignment agreement will be sufficient?? If not then what the other process? Whether the agreement drafted if only notarised will be o.k?or registration required?? when the assignment will be done shall we be debarred from using the product or we may use it by a seperate name??

Leave and license agreement between the parties duly notarized is sufficient. But before granting license to licensee, please get a resolution passed in the meeting.
