can a private ltd co take over the registered partnership firm? which clause gives authority to pvt ltd co . to take over the firm? what to check in Memorandum of association and article of association?

The objects clause of Memorandum of association permits a company/pvt limited in this case to take over the business of a registered partnership firm if businesses of both are ancillary or incidental.
