sack president or founder or quit

We are the committee members of a NGO.

Our founder is resorting to fraud misappropriation and is diverting from the very rules and by laws.

Should we quit the NGO intimating the Registrar of the fraud or in the annual body meeting should we on a major vote sack the Founder.

Pl intimate.
