Director identification number

(Querist) 27 February 2014 This query is : Resolved
Is it possible to register and get a DIN while working in another company as an employee? If no, is there any other way to register my company ?
Amritesh Mishra (Expert) 27 February 2014
There is no restriction in acquiring DIN, however you must check the terms of your employment before filing form 32 for acquiring directorship of any company.

There is no restriction in getting DIN. You have to file DIN Form for obtaining the DIN. Further as far registration of your company is concerned, please note that first you have to incorporate under the Companies Act for doing the business under that company. You have to follow the procedure and need to submit the document with ROC through MCA site for incorporation of the Company. Once ur company is incorporated then you can register ur company under different act like VAT, Service Tax etc. For detail procedure you can contact me on 9930468828. I am company Secretary and graduate in law.

If you want to continue in service then Mr.
Mishra has rightly advised you to look first
in your service agreement.Generally employers do not confer rights on their employees to keep them engaged in other activities during course of employment.

There are two different things, working in one company as an employee and holding a position of director in another company. For DIN, regardless of your employment in another company, you should be concerned with the company in which you hold position as a Director.

The concept of a Director Identification Number (DIN) has been introduced for the first time with the insertion of Sections 266A to 266G of Companies (Amendment) Act, 2006. As such, all the existing and intending Directors have to obtain DIN within the prescribed time-frame as notified.

So, you will have to apply for DIN as a Director (CEO) of your company, not as an employee of some other company.

As per the revised procedure for DIN Allotment, any person intending to apply for DIN shall have to make an application in eForm DIN 1 and should follow the prescribed procedure.
