Availaing Loans from Individuals

I want to start an entreprenuership.Since I have a few friends who are HNIs I would like to take a certain amount of money on a loan basis from them. But my question is:

1. As per the laws am I allowed to recive loans from indivsuals or is it manadatory that I should approach an acredited bank/financial institution for loans? (I would prefer to go to my friends)

2.Is taking loans from individuals is not allowed, can I receive the said amount from them as Investments in my business..?

3.If I am allowed to receive investments from individuals, then is it matdatory that they should be made my partners? can I not keep them just as Investors and not partners..?

Sole properteriorship Business ( Reply required)

Hi i want to open Pest Control Business in Ludhaina or Chandigarh location. As no regisration is required yet i want to register. Also my business fall under service tax category. So where should i go for registration. I do not want go for shop and establishment as it is lenghty and money consuming process.
I need to have Pest Control license from Agri dept that is secondary thing. But firstly i want to know the which department regaister my business.
I welcome as much comment as you can.

If i avail a shop on rent , can i establish my business under shop and establish act.

CLB petition for not honoring board meeting approval

Sir,
Can I be guided for a petition to be filed in CLB for not honoring a commitment approved by BOD in a meeting by erstwhile GLOBAL TRUST BANK (during its legal existence) later merged with Oriental Bank of Commerce. The proposal was approved by the GTB board and recorded in its minutes book The same was communicated to my clients. OBC now is reluctant to honor the approval which was approved by GTB during its lawful and legal existence.
I want a direction from CLB directing OBC to honor the BOD approval which was done during legal existence of GTB.

ISSUE OF SHARE CERTIFICATE

This is the case of Private Limited Company. I want to issue share certificate for 12,500 Shares of Rs.100 each at a premium of Rs. 100 each. so I have to affix Revenue stamp of Rs.2,500 (0.1% in Maharashtra) but it is not possible to affix all the stamp on share certificate so can i attach one more page so as to affix the remaining revenue stamp on it.if yes then on additional page what procedure i have to perform.

Second Notice U/s.434 of the Companies Act.

Can Any one inform me the legal position with regard to the issuance of second notice U/s.434 of the Companies Act ? As the first notice acknowledgment is not yet received from the postal department and to trace out the details from the postal department the earlier counsel who sent the 434 notice does not have any details and misplaced the postal receipts, thus excepting the office copy of the legal notice sent to the company under winding up, there is no evidence to show before the court that the creditor has sent the 434 notice substantially. What is the remedy can a second notice be sent now?
