investment committee quorum

Kindly guide me whether there is any statutory provision for investment committee quorum under any law in India.
Incase if there is any provision as such & also if the A.O.A of the company provides for the quorum then in such a case what shall prevail.

can huf be a partner in llp??


i heard that There is no clarity on whether Hindu Undivided Family (HUF) can be admitted as a member of LLP. However a Karta, representing HUF can become partner of LLP. what it means??

Foreign Collabartion

A Indian Private limited co is presently in dialog with a NRI whereby the NRI has offered his technical expertise to the Indian firm in exchange for a share in Capital of India co.

Pl advise:-
1. Will this constitute FDI, considering the Indian Co is supposed to undertake Construcion business.

2. If the MoU with the NRI require permission of Central Government.

3. The MoU shall contain Non-Compete & Exclusivity clause for any business in India. If such agreement is possible & enforecable by law.

4. Format of agreement & specific references to Legal provision is desirable.

a foreign company wants to establish an entity under section 25 of thye company act by a separate fund .
i want to know the FDI policy that will be applicable to such an institution if established .any limits or sanctions on the investment if provided by the law .

How can Credit card comapanies charge a late fee of Rs.600/-

I became two days late in paying a balance of Rs.400/- for my SBI credit card,they have charged me Rs. 600/- late fee and denied to waive off after three consecutice requests.
I wonder under which law they can charge me such a big penalty for such a small amount apart from the settled monthly interest.
Do RBI/Govt. permits them to do so ?

Legal intimation Notice

Dear Sir/Madam,

I am having garment franchisee of one company and now my business has been burried due to improper supply of goods from the company and i want to bind up this business and recovery of my security asap. I am having the stock of about 12 lacs, according to company, and my security deposit with the company is 6 Lacs+two non dated cheques of 2.50 lacs each. Company cannot pay my security till january 2011 after picking up all the stock. My queries are:
1. Should i send the legal Intimation Notice to company for the settlement of my account asap for the safer side?
2. What should i do for the non dated cheques which are with the company?
3. If Company sends me legal notice first then my showroom place will be ceased to do any other business till the resolution of this case?
4. Can comapny prepare a pre dated legal intimation and try to push me into any kind of mess? what point should i include in my legal notice for the safer side?


My only intention is to handover their stock and recovery of my security 6lacs and losses of 3 months which is 150, 000 only.

Advise the Legal Compliance to be followed under the above mentioned Act and Rule
