Please help

Hello Everybudy.,

I need draft of Board Resolution in respect of re-issue of share certificate as per Rule 4(2) of the Companies (Issue of Share Certificates) Rules, 1960.
Rule 4(2)
No certificate of any share or shares shall be issued either in exchange for those which are sub-divided or consolidated or in replacement of those which are defaced, torn or old decrepit, worn-out, or where the cases in the reverse for recording transfers have been duly utilized, unless the certificate in lieu of which it is issued is surrendered to the company :
Provided that the company may charge such fee, if any, not exceeding Rs. 2 per certificate issued on splitting or consolidation of share certificates or in replacement of share certificates that are defaced or torn, as the Board thinks fit

As far I understood, there is two requirements in this regard:-
One is bring back Old Share Certificates and other is Board Resolution.
If there is any other requirement, please do mention here.

Life of a loan agrrement

i borrowed car loan 3 lakhs in june2005,last instalment end in june2008.Ther is a dispute on small amount in the last instalment.i call there is deficiency inthe serviceby FC. FC claimed ahuge amount other than withheld amount of rs 3000/to 14000/ I approached the fc appeared in forum .The consumer forum in march 2009 , said i have to pay 3000/ plus small amount totalling to 4100/. The forumrejected the plea of firm .for addditional amounts . i immediately sent by cheque registererd post. The firm recived the cheque did not encash , Again firm sent notice sticking to its stand without referring to forum verdict.Iwas out of country for sixmonths.
ireminded the firm for NOC by reg post . Firm dnt respond .
i approached forum again in 2010.Again isent DD for the same amount in nov 2011to the firm . The cover was returned by postal authorities stating . "left" . Now that seven years have elapsed , and firm has no adddress now , how to get NOC for the vehicle .how long the loan agreement can be keptalive . will it not die by now ?

Necessity of transfer certificate for filing execution against ex party arbitration award

An ex party arbitration award was passed by arbitratar in Delhi,there after DH Company filed execution petition against JD at Jind where JD is residing (JD was also residing at Jind at the time of agreement)now court at Jind is insisting me to withdraw the execution or to produce transfer certificate,kindly enlighten me on this issue.Thanks

In this context, what are the procedures to be followed by the private limited company?

Explanation:

A - Private Limited Co
B - Unlisted Public Limited Co

Partnership deed- fixed payment to a partner, without profit sharing-possible?

Hello Experts,

We are in the process of setting up a business and have found a shop for rent. The problem is that shop is currently on rent and the person would basically be sub-letting it to us. To avoid any problems, we are thinking if it would be possible to make this person (who has leased the shop) a partner in this project and show the rent payable to him as partner's salary.

Effectively, we would be paying the rent as salary. This person would not be party to any share of profit / losses.

Is this provision allowed in the partnership deed?

Esop

Employees of a private company were allotted esop’s which were excercised and they were allotted shares subsequently. The company also has one US subsidiary. If the employees to whom shares were allotted under esop plan of the parent company are transferred to one of the subsidiary company, does this imply the parent company to buy back the shares from the employees so transferred to its subsidiary? If yes, to what extent the buyback provisions apply to the private companies which are planning to buy back the shares from the shareholders who are ex employees now [can be the employees who were transferred to subsidiaries or who resigned]. At what rate should the company buy back the shares?
