out of the three legal forms for a NGO/NPO i.e Trusts,Societies and Section 25 companies which one is the most ideal form with having best succession policy and terms ?

secondly, can a section 25 company/society can be formed with an express purpose of bridging the gap between governments's policy formulation and its implementation ??

director's liability under sarfaesi act

dear experts,
please educate me as to the liability of a director(other than managing director) under sarfaesi act for the debts due to bank by the company in which he is a director.This director did not give any guarantee for the debts.
does the fact that the director in question is an independent director make any difference?

Forcing to decrease period of loan.

Dear,
Good morning,
I wish to inform you that I have taken loan against property from karvy Finance in the month of Oct. 2010 for 20 years (240 months). Now within 6 months they are forcing me please sign another agreement for 15 years period (180). In this way they are trying to increase my monthly instalment amount. At present circumstances I am not able to increase my EMI. Please give me legal guidance what should I do now?

share transfer

Hi,

I am working with a small start-up. I am working in this company for last
10 years and during which company has offered me some private equity (not
ESOP and not SWEAT). These shares are allotted though share transfer. I
paid for it as per the face value and got share certificate.

Now I resigned the company. After resignation, the company is asking to
return back the equity. The reason they gave is "articles of association"
has a clause as follows

"Any person who has been allotted shares in the company by virtue of his
being an employee of the Company shall, on ceasing to be so employed, for
any reason whatsoever, at the discretion of the Board, transfer his shares
in the company to such a person as the board may decide, at a value
mutually agreed upon by person and the board"

It would be great if you could help me on following....

1. Does law says that I should return equity even though it is not SWEAT
or ESOP?
2. What legal action will be taken if I do not return the equity?
3. If I want to return equity and the value is not accepted by board, do i
need to give the shares as the board decides?

LICENSE/PERMISSion from Panchayat for Arecanut plate making unit (SSI)

Hi,

I have a small unit (4 machines) of Arecanut leaf plates in Gram Panchayat of Coimbatore District , Tamil Nadu. My building owner has registered in District Industries Centre for subsidised electricity . I have started this unit in December 9 2010.

My query is :

Do I need to get the LICENSE/PERMISSION for my unit from Gram Panchayat and pay the Professional TAX.

First of all i do not understand who is non workers in your case ?

no one force you to give resignation letter ? if so you can send a legal notice to your employer or through your union since you have more then 500 workers .

Dear Sirs what procedure have to follow for issue & allotment of preference share by an unlisted public Ltd. Co.

A, a company is incorporated in 2004 with name of A Pvt. Ltd. and in Jan. 2011 the board of the Co. decided to issue preference shares in changed name B Ltd. and before name changed many application for preference share have received. now Co. want to allot all said application money in the name of B. Ltd. to received applicants.

kindly give me proper solution for said problem. and what procedure have to follow in this critical situation.

How much do I charge the companies who display their ads on my website?

All website owners,who have their websites registered in India,please answer this..

I have opened my own website recently and it's doing extraordinarily well.So many companies want to display their ads on my website.

But I have no clue how much I should charge these advertisers who want to display their advertisements.

Please guide me:

1. How much can I charge them for their advertisement that is displayed on my website?




2. Are rates of these ads charged on per hour basis?Or on per day basis?Please give an example.

3. Just give me a rough idea how much I should charge?I don't know anything about this aspect at all.

Do explain me stepwise,very simply.

my question is that if a private limited company can be formed for providing legal services, then how can it be stopped from advertising, as it is established under companies act??

is it also correct that the indian advocates act,1961 and rules of bar council of india doesn't apply to law firms??
