Selling shares of a pvt ltd comany

Hi,

My client is a company incorporated under companies act and is a pvt ltd company with 3 partners. share holding pattern is
X 40%
Y 25%
Z 35%

Now, company wants to sell 49% of its share to a third party (24% from X's share and 25% of Y's share)
Can somebody help me with a sample agreement or MoU for this transaction along with the requisite stamp duty

debt property swap.

Liquadation

We had public limited company which went into liquidation in the year 1999.highcourt of ahmedabad apponited liquadator but officer appointed did not take any action tilldate now assets and liabilites remaim as it is.Kindly let me know under which section of law we can take we can take back the company as we are ready to make payment and clear all liabilities. retirement deed

in continuation to my query t, The said partners have received there due share and have acknowledged the same in the retirement deed and have given all the powers to the continuing partners , the point i like to ask is retirement deed has to be registered or not , moreover can we enitiate any case for damages and what other remedies we have.

Bankers right to set off

A Bank has granted loan to a local authority. Bank has defaulted in repayment and ac has truned NPA. Some amount is payable by the Bank to that authority by way of a Tax. whether the Bank can exercise its right of set off and appropriate that amount payable as Tax against amount due from that Authority?

Question on debts of overseas branch of an indian bank.

Hello Experts,
I am in need of your guidance on the following question:
If an overseas branch of the indian bank commits default in discharging its debts, then in our winding up petition, can we also demand that such bank also be closed?
Further, can we take indian bank's assets for discharging the debts of that overseas branch?
Any regulations / cases on the point?

RETIREMENT OF PARTNER

A PARTNER RETIRES BY EXECUTION OF RETIREMENT DEED IN 1990 BUT AFTER 20 YEARS HE IS CLAIMING HIS SHARE AND DISSOLVING THE FIRM . WHAT RIGHTS/PROCEDURE AND PROOFS HE HAS TO SUBMIT TO PROVE HE IS STILL A PARTNER BEFORE COURT AS HE HAS NOT SUBMITTED ANY ORIGINAL /CERTIFIED COPEIES TO SUSTANTIATE HIS CLAIM . JUST BECAUSE HIS NAME WAS THERE IN A PENDING CASE BEFOR A FORUM AND THE JUDJMENT CAME IN THE YEAR 2008 REGARDING THAT IMMOVABLE ASSET OF THE FIRM, HE IS TRYING TO TAKE ADVANTAGE OF THE SAME. WHAT REMIDIES CAN THE EXISTING PARTNERS TAKE TO NEGATE HIS CLAIM BEFORE THE COURT?
