Provincial insolvency

I have large debts which cannot be earned and paid by me due to debts even my business is collapsed can i file insolvency or fight in the court the cases that my debtors will file. pls advise what is a better option as i do not own anything on my name

Whether resolution can be signed by the signed by the company secretary ? secretary

A complaint under section 156(3) of Crpc was filed in the Court of Add. CJM.

The resolution of authorization of the company employee who is Operation Assistant has been Signed by the Company secretary of the complainant company.

Now the judge says this authorization by board of directors resolution of the compapny employee has been signed by the company secretary and not by the board of directors...and there is no name of board of directors is mentioned in the resolution therefore its not valid to maintain or file the said private complaint.

where can i find a citation or rulings in respect to Company secretary signing the board resolution is valid in courts.?

If i took loan from my employer but now i have left his service and also unable to repay my loan then can i request my employer in writing to deduct the unpaid portion of my loan from the PF amount???? i want to use my PF to repay the loan to my employer company. how can i do this?? pls advice me. I am currently unemployed . age = 36.

How long amount Promissory note is valued?
When we give loan to a person as 20000
What will i get from him?

Partner intro after a gap

Please tell me, On the demise of one partner in a firm of only 2 partners, can a new partner be introduced with the same firm name and assets etc. after a few years of the Demise of the partner.

Need help ~~~ false allegations

Hi Experts,

One of my friend is working with an employer who is 82 years old and holds vast property. Basically a corrupt mind, he has a habit of applying false allegations on the people who ever enquires about his property and even on his employees who leaves his job. In his past record, he has complained about his employee stating that he is a robber, stole all his documents etc. he sends the complaint letters to all the govt. departments and Police Departments.

So now as my friend is working with him, he is worried if he leaves the job his employer may put allegations as he did in the past with previous employees.

Can he inform the local police station that he is working with so and so employer and about his habits and in future he may do this as he did with previous employers?

Can my friend file a defamation case on his employer IF he tries to tarnish his image and reputation?

Any suggestions on this and the resolution shall be very highly appreciated.

Allotment of shares

A private company was incorporated on 7 april 2011. There were 2 subscribers to MOA one is foreign company holding 9999 shares and one Indian citizen holding 1 share on behalf of foreign company. The company received all the subscription money on 18 july 2011 from foreign company. And again company received money from foreign company on 23 july 2011 for further allotment of shares.

Company allotted shares on 27th july 2011 by way of passing two different board resolution one for allotting shares for subscription money and other for further allotment.
Now my question is that whether a private company without receiving subscription money can file MOA for registration with ROC and if yes then what is time period for receiving subscription money after Date of incorporation.

Can it make allotment by passing two different board resolutions in same meeting, one for subscription and other for further allotment? Time gap for further allotment from DOI in case of Private Company. And is it require to issue two different share certificates

Default in payments.

Respected Experts!

Time and again I used to hear company defaulting payments, now that I have started my own Logistics Business,and due to startup organization I am comparitevely very small.
My question is XYZ Co. was my client, after selling services on the agreed rates the customer is making me nearly to beg for my own money.
After requesting time and again the company paid 30% of amount and 70% still balance from last five months.
Indicating that they dont have enough funds for payments.
I dont know how to go about it .
Please can the experts guide me on this.
